Sale of Dare Home Health and Hospice finalized

On Sept. 1, 2021, Dare County finalized the sale of its Home Health and Hospice service to Adoration Home Health Care Virginia, LLC, an affiliate of Res-Care, Inc., doing business as BrightSpring Health Services.

BrightSpring made the announcement from its home base in Louisville, Ky.

The agency’s office is located at 109 Exeter St. in Manteo, in the county’s Health Division building. The office hours are 8 a.m. to 5 p.m. The phone number for home health is 252-263-5800; and for hospice, the telephone number is 252-301-2620. Call for an appointment.

The North Carolina listings for Adoration split into two webpages, one for Home Health Care and the other for Hospice. Care options are available for home health care and for hospice in Dare County.

The sale concludes the county’s quest for a buyer of its Certificate of Need issued by North Carolina. At the time the certificate was issued, no other agency or private business was providing home heath care or hospice services.

The process formally started Dec. 21, 2021, when the commissioners agreed to hire an attorney versed in such sales. On Feb. 1, 2021, a Resolution of Intent to Sell was adopted.

The county received four proposals and chose to negotiate with BrightSpring.

On June 21, the commissioners agreed to sell to BrightSpring and adopted an Assignment and Assumption Agreement. Dare County and BrightSpring exchanged information. The sale was originally scheduled for Aug. 1, 2021, but was pushed to Sept. 1, 2021.

Nine of Dare County’s 16 Home Health and Hospice employees as of June 21, 2021 transitioned to Adoration.

BrightSpring offered $2,900,000. The closing document, dated Sept. 1, 2021, added a month’s rent at $2,626 for the office space in Dare County’s health building in Manteo.

Coming off the original purchase price is earnest money totaling $290,000 which was paid during the negotiation process. That money is set aside in a restricted fund.

Additionally, bonus money due the nine employees transitioning to Adoration totals on the settlement sheet $22,672.17.

Dare County must also deduct already expended items for attorney and consultant fees and additional expenses. The total transferred to the county’s general fund is $2,453,570 with the note “Reserved for use TBD [to be determined] by BOC.”
