Business scheme alert: Beware of misleading mailings requesting unnecessary annual report fees

North Carolina Secretary of State Elaine Marshall is cautioning company owners not to fall for a mailing prompting them to pay a $90 fee to file their annual report with the department’s Business Registration Division.

The Secretary of State’s Office has received reports that a Michigan company, C.P.F.S., is mailing out a “2020 – Annual Report Instruction Form” to recently formed limited liability companies (LLCs) soliciting them to submit the form to C.P.F.S. with a payment of $292 to have their annual reports filed with the Secretary of State’s Office. The fee for an LLC’s annual report in North Carolina is $200. There is an additional $2 electronic filing fee for filing your annual report online.

“When you receive a solicitation such as this from a business you’re unfamiliar with, it’s best to ask questions before you opt to do business with them. At this point we don’t know whether the businesses that responded to this solicitation will have their forms and fees submitted to us,” cautioned Marshall on January 29.

Annual reports are simple and can be filed directly with the Secretary of State’s Office without use of a private service online, in person or through the mail. The department recommends companies go to www.sosnc.gov to file any due report online and pay the amount due through the official payment system.

Businesses can also check the status of their LLC, corporation or other registered business entity with the NC Secretary of State’s Office online at www.sosnc.gov or by calling 919-814-5400.
